Terms and Conditions
The terms that apply when you use the Upper Cyber website or request a consultation.
Last updated: September 3, 2026
1. Agreement and scope
These Terms and Conditions govern your use of the Upper Cyber website and its public content. By using the website, you agree to these terms. A consultation request, booking, or email inquiry does not by itself create a client relationship, engagement, fiduciary relationship, or commitment to provide services.
Specific work is governed by a separate written agreement, statement of work, proposal, or other engagement document accepted by both parties. If an engagement document conflicts with these terms, the engagement document controls for that work.
2. Services and professional limitations
Upper Cyber may provide IT consulting, Microsoft 365 administration, domain and DNS support, cybersecurity guidance, IT implementation, local SEO, Google Business Profile support, and related education. Services, deliverables, availability, fees, and timelines depend on the applicable engagement document.
Information on this website is practical educational information and is not legal, medical, accounting, or financial advice. HIPAA-related security-readiness support does not constitute a certification of compliance, legal opinion, or guarantee that an organization satisfies HIPAA or another regulation.
No service can guarantee that a system will never be compromised, that a security incident will not occur, or that a search engine or third-party platform will produce a particular ranking, approval, or result. Unless a signed agreement states otherwise, Upper Cyber is not an emergency response provider and should not be used as the sole contact for an active security incident.
3. Bookings and communications
Microsoft Bookings is a third-party scheduling service. A booking request is subject to availability and any confirmation shown by the scheduling system. You are responsible for providing accurate contact information and attending or rescheduling appointments according to the applicable scheduling instructions.
You may contact Upper Cyber at info@uppercyber.net. The public question form opens your device’s email application and does not create a secure portal. Do not send passwords, access codes, payment-card information, protected health information, or confidential client records through the website or ordinary email.
4. Client responsibilities and remote access
Clients remain responsible for maintaining appropriate authority over their systems, accounts, domains, data, licenses, backups, business decisions, and regulatory obligations. Before work begins, clients must provide accurate information, timely access, approvals, and a suitable point of contact.
Remote access may be used only when authorized for a defined purpose. Clients should maintain independent backups and should not provide credentials through the public website. When credentials or privileged access are needed, the parties should use an agreed secure process and promptly remove or rotate access when work is complete.
5. Third-party services
Upper Cyber may refer or link to Microsoft 365, Microsoft Bookings, Google Business Profile, Google Search, YouTube, LinkedIn, hosting providers, security tools, and other third-party services. Third-party services are governed by their own terms, policies, availability, and technical controls. Upper Cyber is not responsible for a third party’s independent service, outage, policy, account decision, or data processing.
6. Website content and intellectual property
The website, including its original text, design, marks, graphics, and other content, is owned by or licensed to Upper Cyber unless stated otherwise. You may view the website for personal or internal business evaluation. You may not copy, republish, sell, scrape, modify, reverse engineer, or commercially exploit the site or its content without written permission.
Client-owned materials remain the client’s property. Ownership and permitted use of work product, templates, documentation, configurations, and licensed tools will be addressed in the applicable engagement document.
7. Acceptable use
You may not use the website to break the law, interfere with the website or its security, attempt unauthorized access, upload malicious material, impersonate another person or business, submit false information, or transmit material that infringes another person’s rights. Upper Cyber may restrict access when reasonably necessary to protect the website, users, systems, or business operations.
8. Fees, expenses, and cancellation
Fees, payment timing, expenses, cancellation terms, refunds, and ownership of deliverables will be stated in the applicable proposal or engagement document. Unless expressly stated otherwise, website content does not create a promise of free services, a fixed price, or a guaranteed delivery date.
9. Disclaimers and limitation of liability
To the extent permitted by applicable law, the website and its public content are provided on an “as available” basis without warranties that the site will be uninterrupted, error-free, complete, or suitable for a particular purpose. The parties should address service warranties, limits of liability, exclusions, indemnification, insurance, and dispute procedures in the applicable written engagement.
Nothing in these terms excludes or limits a liability that cannot lawfully be excluded or limited. Counsel should tailor this section to the services, customer types, and jurisdiction involved.
10. Changes and termination
We may update these terms by posting a revised version with a new “Last updated” date. Changes apply prospectively to website use. Either party’s rights and obligations under a signed engagement document are governed by that document. We may suspend or discontinue public website access at any time.
11. Governing law and contact
Unless an applicable engagement document states otherwise, disputes concerning these public website terms should be reviewed under the law and venue provisions selected by qualified counsel for the business. Questions about these terms may be sent to info@uppercyber.net.
